A license agreement gives a company rights to use, commercialize and sell products emerging from the technology. A typical license agreement includes the following elements:
- Licensed Technology
- Scope (Exclusive or Non-Exclusive)
- Licensed Territory
- Field of Use
- Licensing Fee
- Development Period/Diligence
- Patent Reimbursement
- Minimum and/or Running Royalties
- Milestone Payments
An option agreement provides the company rights to evaluate a technology for a limited period of time (option period) during which we keep open the availability of a license to the company. A standard one-time fee is typically charged.
